These Terms of Service ("Terms") govern your access to and use of the services provided by US Post Acute Service Solutions ("USPASS," "we," or "us"). Please read these Terms carefully. By accessing or using our services, you agree to be bound by these Terms.

1. Services

USPASS provides a platform that connects healthcare providers and payors to streamline post-acute care coordination. Our services include contract management, communication tools, document management, and related healthcare coordination functions.

2. User Accounts

To use many of our services, you must register for an account. You agree to provide accurate and complete information when creating your account and to keep your account information updated. You are responsible for safeguarding your password and for all activities that occur under your account.

We reserve the right to disable any user account if we believe you have violated these Terms or if we determine that your account poses a security risk.

3. User Responsibilities

When using our services, you agree to:

  • Comply with all applicable laws and regulations
  • Respect the privacy and rights of others
  • Use the services only for authorized and legitimate purposes
  • Not engage in any unauthorized access or use of our systems
  • Not attempt to disrupt or compromise the security of our services
  • Not transmit any malicious code, such as viruses or malware

4. Healthcare Data and HIPAA Compliance

Our services may involve the transmission, storage, and processing of protected health information (PHI) as defined under the Health Insurance Portability and Accountability Act (HIPAA). Users who submit or access PHI through our services agree to comply with all applicable healthcare privacy laws, including HIPAA.

We implement appropriate safeguards to protect PHI in accordance with HIPAA and our Privacy Policy. By using our services, you agree to use and disclose PHI only as permitted by law and to implement appropriate safeguards to protect such information.

5. Intellectual Property

Our services and content, including but not limited to software, text, graphics, logos, and images, are owned by USPASS or our licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, modify, distribute, display, perform, or create derivative works from any part of our services without our prior written consent.

Any feedback, suggestions, or ideas you provide regarding our services may be used by us without restriction or compensation to you.

6. Third-Party Links and Services

Our services may contain links to third-party websites, services, or content that are not owned or controlled by USPASS. We do not endorse or assume responsibility for any third-party content, and your use of third-party services is subject to their respective terms and policies.

7. Disclaimer of Warranties

We provide our services on an "as is" and "as available" basis, without warranties of any kind, whether express or implied. We do not guarantee that our services will be uninterrupted, error-free, or secure, or that any defects will be corrected.

We do not provide medical advice, and our services are not a substitute for professional medical judgment. Healthcare providers using our services remain responsible for all clinical decisions and patient care.

8. Limitation of Liability

To the maximum extent permitted by law, USPASS and our affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

In no event shall our total liability for all claims related to the services exceed the greater of $100 or the amount you paid to USPASS for the services in the past 12 months.

9. Indemnification

You agree to indemnify, defend, and hold harmless USPASS and our affiliates, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the services, your violation of these Terms, or your violation of any rights of another.

10. Termination

We may terminate or suspend your access to all or part of our services at any time, with or without cause, with or without notice, effective immediately. If you wish to terminate your account, you may simply discontinue using our services or contact us to request account deletion.

Upon termination, all provisions of these Terms which by their nature should survive termination shall survive, including without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on our website prior to the changes becoming effective. Your continued use of our services after the effective date of the revised Terms constitutes your acceptance of the changes.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law principles. Any legal action or proceeding arising out of or relating to these Terms or your use of our services shall be brought exclusively in the state or federal courts located in New Jersey.
